1. About these terms

These Terms of Use ("Terms") govern your access to and use of the Tellis platform and website operated by Tellis Labs Ltd. ("Tellis", "we", "us"), a company registered in England and Wales (Company No. 16338024). By accessing or using Tellis, you agree to be bound by these Terms. If you are using Tellis on behalf of a company or organisation, you represent that you have authority to bind that entity.

2. The service

Tellis provides an AI-powered product intelligence platform that helps merchants and agencies enrich, optimise and distribute product catalogue content. Features may include automated content generation, competitor analysis, trend signals, visual asset auditing and channel distribution tools. We reserve the right to modify, suspend or discontinue any part of the service at any time with reasonable notice.

3. Accounts and access

You must provide accurate, complete information when creating an account.
You are responsible for maintaining the confidentiality of your credentials.
You must notify us immediately of any unauthorised use of your account.
Accounts may not be shared or transferred without our written consent.

4. Acceptable use

You agree not to:

Use the service for any unlawful purpose or in violation of applicable laws.
Reverse engineer, decompile or attempt to extract source code from the platform.
Use automated tools to scrape, crawl or excessively query the service.
Introduce malicious code, viruses or harmful material into the platform.
Resell or sublicense access to the service without our written permission.
Infringe the intellectual property rights of Tellis or any third party.
Connect any third-party account you are not authorised to connect, or use the service to access data you do not have the right to access.

5. Your content

You retain ownership of all product data, content and materials you upload or connect to Tellis ("Your Content"). By providing Your Content, you grant Tellis a limited licence to process, store and use it only to provide the Tellis services and the features you request. You represent that you have all necessary rights to provide Your Content and that it does not infringe any third-party rights.

We do not use Your Content to develop, train or fine-tune generalised AI or machine-learning models.

Data obtained through Google APIs is subject to the additional restrictions set out in Section 6 of our Privacy Policy and in the Google API Services User Data Policy. Where those restrictions differ from any general provision of these Terms, the restrictions take precedence.

6. Third-party integrations

Tellis can connect to third-party services at your instruction, including Google Merchant Center, Google Analytics and Google Search Console.

Authorisation. You must have the right to connect each account and to authorise Tellis to access the data within it. Where you connect an account belonging to a client, you confirm you have their permission.
Scope of access. We access third-party data only as described in our Privacy Policy, only for the features you use, and only while the connection remains active.
Google services. Your use of Google services remains governed by Google's own terms. Tellis's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Tellis is not affiliated with or endorsed by Google.
Revoking access. You may disconnect any integration at any time from within Tellis or from the provider's own account settings. Features that depend on that connection will stop working, and data obtained from that provider is deleted as described in our Privacy Policy.
Availability. Third-party APIs may change, rate-limit or become unavailable. We are not liable for interruptions caused by a third-party provider.

7. Intellectual property

All intellectual property in the Tellis platform, including software, models, interfaces, trade marks and documentation, is owned by Tellis Labs Ltd. or its licensors. Nothing in these Terms transfers any ownership of such intellectual property to you.

8. AI-generated content

Tellis uses artificial intelligence to generate product descriptions, attributes and other content. AI-generated outputs may contain inaccuracies. You are responsible for reviewing and approving any content before publishing it to your channels. Tellis does not guarantee the accuracy, completeness or suitability of AI-generated content for any particular purpose.

9. Payment and billing

Paid plans are subject to the pricing agreed at sign-up. Fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of your account.

10. Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the service will be uninterrupted, error-free or free of harmful components.

11. Limitation of liability

To the fullest extent permitted by applicable law, Tellis Labs Ltd. shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue or data. Our total liability to you for any claim arising out of or in connection with these Terms shall not exceed the amounts paid by you to Tellis in the 12 months preceding the claim.

12. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the service ceases and all third-party connections, including any Google connection, are revoked. We will delete or return Your Content in accordance with Sections 6 and 9 of our Privacy Policy, and will delete data obtained from Google APIs within the period stated in Section 6 of that policy.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes with at least 14 days' notice. Continued use of the service after the effective date constitutes acceptance.
